Our Information

The registered office and mailing address of Transition Stories BV is located at Kastelein 142a, 2300 Turnhout. Transition Stories BV operates from the offices at the OMC site, Slachthuisstraat 96, 2300 Turnhout, and Mundo-a, Turnhoutsebaan 139a, 2140 Borgerhout.

Transition Stories BV is registered in the commercial register with VAT number BE 0726.745.477.

Scope

These general terms and conditions apply exclusively to all offers, proposals, quotations, or other documents made, and agreements concluded, where Transition Stories BV acts as a supplier or service provider of any kind and where the client(s) (hereinafter “client”) is not a consumer within the meaning of art. I.1,2 of the Code of Economic Law. The client acknowledges having taken note of this.

The client’s general terms and conditions are expressly excluded, whether or not they are consistent with these general terms and conditions, unless they are explicitly applicable within the framework of a public procurement in which Transition Stories participates.

Deviations from these general terms and conditions can only be made by an explicit written agreement, signed separately for approval by Transition Stories BV. Such deviation is always limited to the subject of the agreement to which the general terms and conditions pertain. For the rest, these general terms and conditions remain fully applicable and form an integral part of any written agreement. If any provision of these general terms and conditions or any agreement concluded is null or void, the remaining provisions of these general terms and conditions and/or agreement will remain fully effective.

The client is solely responsible for the sold goods and/or services provided. Transition Stories BV cannot be held responsible if the sold goods or provided services are found to be unsuitable for the intended use or purpose by the client unless this use or purpose was explicitly mentioned as an essential part of a prior written agreement with Transition Stories BV.

In the event of a dispute, Belgian law is applicable, even if the client resides abroad.

Quotations and Orders

Transition Stories BV is only bound by quotations, orders, or other documents signed by its authorized persons.

No quotation, order, or other document is binding for Transition Stories BV if it has not been explicitly accepted in advance by Transition Stories BV.

Unless explicitly stated otherwise in writing, any quotation or other document issued by Transition Stories BV is valid for thirty calendar days from the date indicated on the quotation.

By placing or signing an order, the client accepts the contents of these general terms and conditions and confirms that they have read and explicitly accept them.

Prices and Price Changes

All prices are quoted in EUR, excluding VAT or other taxes.

Any change to the original order requested by the client will be invoiced at the rates applicable at that time at Transition Stories BV. These changes are always subject to these general terms and conditions.

Invoicing and Payment Terms

Unless explicitly stated otherwise in writing, each invoice is payable at the company’s registered office within thirty calendar days after the invoice date. The price is considered paid only when Transition Stories BV has effectively received the full amount.

In the event of late payment, interest on arrears will be due by operation of law and without prior notice, amounting to 2% of the principal sum per month of delay, plus a minimum of 40.00 EUR, without prejudice to the right of Transition Stories BV to prove higher damages.

In the event of late payment or serious negligence in the execution by the client, Transition Stories BV may suspend its services, consider the agreement dissolved, or cancel the client’s orders without further notice, without any right to compensation. If necessary, Transition Stories BV may also claim compensation equal to 25 percent of the outstanding invoice amount, plus any additional costs.

Furthermore, Transition Stories BV reserves the right to claim higher compensation through legal action in the event of significant damage exceeding the flat-rate compensation. All costs associated with the possible recovery of invoices are also borne by the client.

In the event of late payment, other invoices not yet due will become immediately payable by operation of law and without prior notice.

The parties agree to always allow mutual set-off of due claims they have against each other.

Delivery and Service Deadlines

Unless explicitly stated otherwise in writing, the adherence to delivery or service deadlines mentioned in quotations, agreements, or other documents only constitutes a best-efforts obligation, not a result obligation. Exceeding these deadlines cannot give rise to compensation.

The client can never claim compensation or invoke a breach of contract if the delivery cannot take place within the deadlines due to the following circumstances: force majeure, armed conflict, business disruptions, union actions and strikes affecting the company or transport services, terrorist acts, and, in general, any event beyond the control of Transition Stories BV.

Property – Intellectual Property and Copyright

All delivered goods and materials remain the property of Transition Stories BV until full payment has been received.

Unless explicitly stated otherwise in writing, Transition Stories BV remains the owner of all industrial and intellectual rights of the goods or services delivered to the client, including copyrights, drawings, models, or any other intellectual property right associated with its research reports.

Full or partial reproduction, placement on other sites, reproduction in any other manner, and/or commercial use of this information is not allowed unless explicit written permission has been granted by Transition Stories BV. Sharing information from the website https://transitionstories.be through social media icons is permitted.

Unless a specific written agreement states otherwise, Transition Stories BV reserves the right to carry out any form of publication.

Acceptance and Liability

Delivered performances are deemed accepted as soon as they are made freely available to the client or used by the client in any way.

Unless explicitly stated otherwise in writing, Transition Stories BV is only committed to a best-efforts obligation and not a result obligation regarding the services to be provided.

Transition Stories BV can never be held responsible for goods or services from third parties, especially if they are part of or incorporated into its goods or services. If and to the extent that Transition Stories BV makes goods or services from third parties available to the client in the context of executing their agreement, the liability of Transition Stories BV for those goods or services will in no case include more than what is recovered from those third parties by Transition Stories BV.

Unless explicitly stated otherwise in writing, complaints about delivered services must be communicated to Transition Stories BV within thirty calendar days after delivery by registered letter. If the thirty-day period is not respected, Transition Stories BV cannot be held responsible, and the client is deemed to have accepted the services of Transition Stories BV, making the related invoice fully payable.

In the event of a timely and justified complaint, Transition Stories BV will attempt to rectify the problem by, if possible, restoring the relevant aspect in kind and within a reasonable period.

In any case, Transition Stories BV will never be liable for indirect damage (including but not limited to consequential damage, lost profits, loss of savings, loss of opportunities, business stagnation, and damage to third parties), and the liability of Transition Stories BV will never exceed the compensation paid for the relevant delivery or service.

Notwithstanding the foregoing, in all cases, the liability of Transition Stories BV for compensation for damage that the client might suffer due to the fault of Transition Stories BV is limited to the portion of the damage between €5,000 and €250,000 (per damage case and per insurance year), except in the case of intentional fault by Transition Stories BV, in which case no limitation of liability will apply.

The client will indemnify Transition Stories BV against any claim by third parties against Transition Stories BV that exceeds the aforementioned thresholds.

Use of the Website

Transition Stories BV does everything possible to protect its website from hackers, viruses, defects, and spam, but cannot guarantee this. Consequently, Transition Stories BV cannot be held responsible for any damage that the visitor and/or the visitor’s equipment may incur while consulting https://transitionstories.be.

Competent Court – Applicable Law

In the event of a dispute, only the Court of Commerce of Antwerp, Turnhout division, is competent. Only Belgian law applies, to the exclusion of its rules on private international law, even if the client resides abroad.
